Frasers Group launches 100 million pounds share repurchase to address market undervaluation

UK retail company Frasers Group has agreed to commence a directed trading programme to purchase ordinary shares from MASH Holdings and MASH Beta, investment vehicles controlled by majority shareholder Mike Ashley.

The agreement follows authority granted at the annual general meeting (AGM) on September 16, 2026. Under the arrangement, the business has entered into a non-discretionary agreement with UK financial adviser Panmure Liberum to acquire shares up to an aggregate purchase price of 100 million pounds.

The board of directors considers that Frasers Group has long been undervalued. As of April 26, 2026, the company reported a net asset value of 2.50 billion pounds, which leadership argues is not fully reflected in its prevailing share price.

Frasers launches directed trading programme

Purchases under the programme will proceed on a pro-rata basis alongside the group’s existing on-market buyback scheme. For every one ordinary share repurchased on the open market, Frasers Group will acquire three ordinary shares under the directed arrangement.

Acquisitions from MASH Holdings will not exceed 26,561,540 ordinary shares of 10 pence each, subject to an aggregate buyback ceiling of 14.99 percent of share capital. Following execution, the acquired stock will be held in treasury.

Frasers Group noted that the buyback structure responds directly to investor feedback aimed at improving liquidity and returning capital. Panmure Liberum has advised the board that terms remain fair and reasonable for independent shareholders.

Strategic elevation and portfolio consolidation continue

Management stated that trading momentum under its core elevation strategy continues across domestic and international operations. Recent operational highlights include the corporate consolidation of German fashion brand Hugo Boss, which became a subsidiary of the group during the financial half-year to October 25, 2026.

The transaction is projected to lift consolidated net asset value across future reporting periods. Frasers Group has also progressed international expansion plans, integrating acquisitions such as South African sporting goods retailer Holdsport and Norwegian chain XXL.

The business continues to expand its retail footprint through Sports Direct franchise openings across South East Asia, alongside the acquisition of regional sporting retail networks including Hervis Group in Romania and Hungary. Frasers Group confirmed it intends to continue purchasing shares until its market valuation aligns with internal asset assessments.
